CardEx - AI-powered digital business card and contact management

CardEx is a product developed by upGrad School of Technology.

These Terms and Conditions (“Terms”) are a binding agreement between you (“you,” “your”) and CardEx(“CardEx,” “we,” “us,” “our”). They govern your access to and use of:

  • The CardEx mobile application(s) for Android and iOS (the App”);
  • Related websites, APIs, and services we provide that reference these Terms (together with the App, the Services”).

By downloading, installing, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Our Privacy Policy describes how we collect and use personal information. By using the Services, you also acknowledge that Policy.

1. Definitions

2. Eligibility

2.1 Age. You must be at least 13 years old, or the minimum age of digital consent in your jurisdiction (whichever is higher). If you are between the minimum age and 18 (or the age of majority where you live), your parent or guardian should review these Terms and supervise your use.

2.2 Authority. If you use the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2.3 Restrictions. You may not use the Services if you are barred under applicable law or if we have previously terminated your account for serious violations.

3. Account Registration and Security

3.1 Registration. To access most features you must create an account by providing accurate information (e.g. name, email, phone) and completing email verification via one-time password (OTP) or other methods we specify.

3.2 Account security. You are responsible for maintaining the confidentiality of access to your email account and device. You are responsible for all activity under your account unless you notify us promptly of unauthorized use.

3.3 Accurate information. You agree that registration and profile information (including virtual card fields) will be truthful and kept reasonably current. We may suspend accounts with false, misleading, or impersonating information.

3.4 One account. Unless we expressly permit otherwise, you should not maintain multiple accounts to circumvent limits or bans.

4. Description of the Services

The Services may include, without limitation:

  • Virtual business cards with customizable themes, images, social links, and QR codes or share links;
  • Scanning physical business cards with the camera or uploading images from your gallery;
  • Manual entry of contact details when scan/upload is unavailable or insufficient;
  • Saving and organizing contacts (business cards) within the App (notyour device's system Contacts app by default);
  • Teams: create teams, invite or add members, join via code or QR, share cards within teams;
  • Organizations: create or join organizations, organization-level virtual cards, manage teams under an organization (subject to role), organization admin tools;
  • AI Search: natural-language queries over cards you are permitted to access;
  • Settings, themes (e.g. light/dark), About, links to policies, and logout.

Features may vary by platform version, region, or configuration. We may add, modify, or remove features.

5. License to Use the Services

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the App for personal or internal business purposes in accordance with app store rules (Google Play, Apple App Store, etc.).

You must not:

  • Copy, modify, distribute, sell, lease, or reverse engineer the App or Services except as permitted by law;
  • Remove proprietary notices;
  • Use the Services to build a competing product or automated scraping pipeline without permission.

6. Acceptable Use

You agree not to:

  • Violate any applicable law, regulation, or third-party right (including intellectual property and privacy).
  • Upload or transmit malware, spam, unlawful content, hate speech, harassment, or sexually explicit material involving minors.
  • Misrepresent identity or affiliation, including impersonating others or organizations.
  • Attempt unauthorized accessto the Services, other users' accounts, our systems, or networks (including probing, scanning, or bypassing security).
  • Interfere with or overload the Services (e.g. denial-of-service attacks, excessive automated requests).
  • Scrape, harvest, or bulk-export data from the Services except through features we provide or with our written consent.
  • Use AI Features to generate unlawful content or to violate third-party terms (e.g. model misuse policies).
  • Use contact data obtained through Teams or Organizations for unsolicited commercial messaging(“spam”) outside reasonable professional context, or sell member lists.
  • Circumvent technical limits, payment requirements (if any), or enforcement actions.

We may investigate violations and cooperate with law enforcement. We may suspend or terminate access for violations.

7. Teams, Organizations, and Shared Data

7.1 Visibility. By joining a Team or Organization, you understand that admins and members may see cards, profiles, or metadata shared according to product behavior and role permissions.

7.2 Admin actions. Organization admins and team creators/admins may invite/remove members, manage teams, upload cards to teams, delete teams (where permitted), or configure organization cards. You accept admin actionsthat are consistent with the Services' design.

7.3 Your obligations. When you upload cards or invite others, you represent that you have the right to share that information with the recipients (team/org members).

7.4 Leaving. Where the App provides leave or delete options, use them to exit groups you no longer wish to belong to. Removal timing may depend on server processing.

8. Your Content and License to Us

8.1 Ownership. You retain ownership of your Content (subject to third-party rights in materials you upload).

8.2 License you grant us. You grant CardEx a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, transmit, modify (e.g. resize images), and process your Content solely to operate, improve, secure, and promote the Services-including backing up data, providing AI Features you request, and displaying Content to users you authorize (e.g. team members).

8.3 Moral rights. To the extent permitted by law, you waive or agree not to assert moral rights against us for permitted uses.

8.4 Representations. You represent that you have all rights necessary to grant the license above and that your Content does not infringe third-party rights.

8.5 No obligation to monitor. We are not obligated to pre-screen Content but may remove or restrict Content that violates these Terms or law.

9. Intellectual Property

9.1 CardEx IP. The CardEx name, logos, UI, documentation, and underlying software are owned by CardEx or licensors and protected by intellectual property laws. No rights are granted except as expressly stated.

9.2 Feedback. If you provide suggestions or feedback, we may use them without obligation or compensation to you.

10. Third-Party Services and AI

10.1 Third parties. The Services rely on third-party infrastructure (e.g. cloud hosting, Supabase, OpenAI). Their terms and privacy policies apply to their processing.

10.2 AI disclaimer. AI Features may produce incorrect, incomplete, or biased results. You are solely responsible for reviewing and correcting extracted data and for how you use AI Search results. You should not rely on AI output alone for legal, medical, financial, or safety-critical decisions.

10.3 API keys.If you supply your own API keys for AI (where the product allows), you are responsible for compliance with the provider's terms and for key security.

11. Fees and Payments

11.1 If we offer paid plans or in-app purchases, fees, billing cycles, and cancellation terms will be presented at purchase and may supplement these Terms.

11.2 Taxes. You are responsible for applicable taxes unless we state otherwise.

11.3 Free tier. If the Services are free, we may introduce fees with reasonable notice where permitted.

12. Communications

12.1 We may send transactionalmessages (OTP, security alerts, legal notices) by email or in-app notifications.

12.2 Marketing communications (if any) will be sent where permitted by law and may include opt-out instructions.

13. Termination

13.1 By you

You may stop using the Services at any time and request account deletion as described in our Privacy Policy.

13.2 By us

We may suspend or terminate your account or access if:

  • You materially breach these Terms;
  • We must comply with law;
  • Your use creates risk or harm to us or others;
  • We discontinue the Services (with notice where reasonable).

13.3 Effect

Upon termination, your right to use the Services ceases. We may delete data subject to our Privacy Policy and backup practices. Provisions that by nature should survive (e.g. disclaimers, liability limits, indemnity, governing law) survive termination.

14. Disclaimers

14.1 AS IS / AS AVAILABLE. THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARDEX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

14.2 No guarantee. We do not warrant uninterrupted, error-free, or secure operation; nor that defects will be corrected; nor that the Services are free of harmful components.

14.3 Third-party content. We are not responsible for third-party websites, integrations, or content linked from the Services.

14.4 Professional advice. The Services are not legal, financial, HR, or compliance advice.

Some jurisdictions do not allow certain disclaimers; in those jurisdictions our disclaimers apply to the fullest extent permitted.

15. Limitation of Liability

15.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARDEX AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

15.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (USD $100) IF YOU HAVE NOT PAID US.

15.3 Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the maximum permitted.

16. Indemnification

You will defend, indemnify, and hold harmlessCardEx and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Content; (b) your use of the Services; (c) your breach of these Terms or violation of law; or (d) your violation of third-party rights.

17. Export and Sanctions

You represent that you are not located in a country subject to embargo or designated as terrorist-supporting (as defined by applicable laws) and are not on any restricted party list. You will not use the Services for prohibited end uses.

18. Government Users

If you are a U.S. government entity, additional federal acquisition regulations may apply; contact us before use in such contexts.

19. Apple App Store - Additional Terms

If you obtained the App through the Apple App Store, you acknowledge that:

  • These Terms are between you and CardEx, not Apple;
  • Apple has no obligation to maintain or support the App;
  • Apple is not responsible for the App or third-party claims relating to it;
  • Apple and its subsidiaries are third-party beneficiaries of these Terms as relates to your license of the App, and Apple may enforce those provisions.

You must also comply with the App Store Terms of Service.

20. Google Play - Additional Terms

If you obtained the App through Google Play, you must comply with the Google Play Terms of Service. Google may be a third-party beneficiary of certain provisions where required by Google.

21. Changes to the Services and Terms

21.1 We may modify the Services at any time (features, availability, regions).

21.2 We may update these Terms by posting a revised version with a new “Last updated” date in the App or on our website. Material changes may include additional notice (e.g. in-app banner or email) where required by law. Continued use after the effective date constitutes acceptance. If you disagree, stop using the Services.

22. Governing Law and Disputes

22.1 Governing law. These Terms are governed by the laws of [YOUR JURISDICTION - e.g. State of Delaware, United States], excluding conflict-of-law rules.

22.2 Courts. Except where prohibited by law, you and CardEx consent to the exclusive jurisdiction of the courts located in [YOUR VENUE - e.g. Wilmington, Delaware] for disputes arising out of these Terms or the Services.

22.3 Informal resolution. Before filing a claim, you agree to contact noreply@upgradsot.com to attempt informal resolution for 30 days.

22.4 Class actions. TO THE EXTENT PERMITTED BY LAW, PROCEEDINGS MUST BE BROUGHT ONLY IN YOUR INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION.

23. Miscellaneous

23.1 Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.

23.2 Force majeure. We are not liable for delays or failures due to events beyond reasonable control (e.g. natural disasters, war, internet outages, supplier failures).

23.3 Severability. If any provision is invalid, the remainder remains in effect.

23.4 No waiver. Failure to enforce a provision is not a waiver.

23.5 Entire agreement. These Terms and our Privacy Policy (and any referenced policies) constitute the entire agreement regarding the Services.

23.6 Language. If we provide translations, the English version controls in case of conflict unless local law requires otherwise.

23.7 Notices. We may send notices to your registered email or through the App.
